Anyone know how to delete "Apple-Modem-On-Hold"?

I've been searchin with the Activity Monitor,
and this little start-up item is back again.
Does anyone know how to delete them or turning it off?

I know how to turn them off manually in the Activity Monitor
but I would have to do that everytime I start up the computer.

I just noticed that there was this "itunes helper", too.
Was able to find the location for this app and successed to delete it.

I'm still having hard time looking for this "Apple Modem On Hold"
any information would be appriciated.
I remenber that this app disappeared in 10.3.7 or 10.3.6.
dunno why.
