Not enough memory problem

I am using Ableton 4.1.4 and Cubase SX 3 with rewire, routing 5 channels (2 mono & 3 stereo) to cubase only for mixing there. My old desktop machine (running with P4 2.4 1024 DDR2 RAm, 7200 HDD and EMU 1212m card) had no problem at all plyaing like this. The live set file is really huge, with lots of 24 bit 48 KHz loops (almost all not loaded into ram) and ~ 250 scenes, without anything on the arranger window. The cubase file has only some EQs on the 5 channels.
Recently I bought a HP laptop (2.0 Ghz centrino 1024 ddr2 RAM, 7200 HDD) and a focusrite saffire sound card. I tried to load the same thing - Cubase, Live (rewire) and the big set of looops, but at some moment Live displays the message "There is not enough memory. Please save your document and quit."
Strange because my desktop machine which is same ram and slower CPU doesn't do it... I tried all kinds of windows XP tunning, pagefile allocation etc. but none worked, even if my OS for sound is really optimized with all kind of network and other system services stoopped. When Live runs alone with the same file, the RAM used is almost the same as when cubase is beneath, but it works fine, with only 30% CPU (which is less by 15% than on my desktop machine).
I monitored the RAM use with a little free soft Cacheman and find out the folowing: when both cubase and live are started before loading the ableton file, the system is using around 200 MB of physical ram, and pagefile & allocation size are minimal; when trying to open the file, the RAM is filling up to 800MB of physical RAM and there it stops with the message about not enough memory, leaving almost 200 MB of free; at the same time the pagefile is around 50-60 MB continuosly growing, but the allocation size is over 1GB ... maybe this is the key of the problem.
I really need mixing through cubase for live act, and i don't know how to make it work on my new machine. Mainboard is different, but the laptop should be really better than the desktop, or is it the soundcard maybe?
I don't plan to upgrade to live 5 because the demo i tried was much more expensive on system ressources and my huge live file just doesn't load correctly for subtle playing even without cubase.

I found a noticable difference between mixing inside Ableton and mixing in cubase... I suppose this is purely about software algorith mix, which in cubase is for sure more full and subtle than in Live...
