Your best option for fewer problems is to fully erase your Mac HD and install SL from a clean slate. You will have to reinstall Live (and everything else) but save your Unlock.cfg file somewhere off your HD or you will have to re-authorize Live.

I overwrote and its been perfect for the last 6 months - take a back up image of your drive and try the overwrite, if you get anyissues then do a clean install
Ps if you are anything like me and have loads of kit it will takes hours upon hours to install from scratch!

With SL you can just install a new system over the old one. System components will be replaced, but everything else is left in place. The alternative would be a fresh install (erase & install) & then migrate your old stuff = time wasted, or set up everything from scratch = even more time wasted in most cases. http://discussions.apple.com/thread.jsp ... ID=2359392
Before upgrading, you have to check 3rd party stuff (apps & audio/midi etc. drivers, VSTs, AUs, plugins, widgets etc.) for compatibility in either case anyways.

Also SL installation is kinda intelligent, having a list of some incompatible stuff, which will be moved to a newly created (if needed) "Incompatible Items" folder. You don't get that, when you erase & install & migrate stuff afterwards.
I would also do a custom install with only the stuff you really need (printer support, languages, additional fonts etc.)

If you really wanna do an Erase & Install: http://support.apple.com/kb/HT3910
Before upgrading always make sure you have a backup!!!
